CHILL OUT RIDE DRIVER AGREEMENT

This Driver Agreement (“Agreement”) is entered into between Chill Out Ride, LLC (“Chill
Out Ride,” “we,” “us,” or “our”) and the individual driver (“Driver,” “you,” or “your”) who has
been approved to provide transportation services through the Chill Out Ride mobile application
(“App”).
By signing up as a driver and using the Chill Out Ride platform, you acknowledge that you have
read, understood, and agreed to comply with the terms and conditions outlined below.

1. INDEPENDENT CONTRACTOR STATUS

  • You agree that you are an independent contractor, not an employee of Chill Out Ride.
  •  As an independent contractor, you are solely responsible for your work schedule, the
    rides you accept, and the manner in which you provide transportation services.
  • You are responsible for all expenses associated with your services, including but not
    limited to fuel, maintenance, insurance, taxes, and any necessary permits.

2. DRIVER ELIGIBILITY REQUIREMENTS

To qualify as a driver for Chill Out Ride, you must meet the following requirements:
  •  Be at least 21 years old with a valid driver’s license.
  •  Pass a background check, including a review of your driving record and criminal
    history.
  •  Maintain a clean, insured, and registered vehicle that meets Chill Out Ride’s safety
    and quality standards.
  • Possess a smartphone compatible with the Chill Out Ride driver app.
  •  Adhere to all local, state, and federal transportation laws.

3. VEHICLE REQUIREMENTS

Your vehicle must meet the following standards to be eligible for use on the Chill Out Ride
platform:
  • Must comply with all state and local regulations for passenger transportation.
  • Must be clean, well-maintained, and in good working condition.
  • Must have valid vehicle registration and insurance that meets the minimum legal
    requirements.
  • Must have functioning safety features, including seatbelts, airbags, and proper lighting.

4. DRIVER PAYMENTS & COMPENSATION

  • Drivers are paid based on a commission structure for each completed ride. The
    commission rate will be outlined in your driver portal.

  • Payments will be processed weekly via Stripe Connect to your designated payout
    account.

  • Drivers are responsible for reporting and paying any applicable taxes on their earnings.

  • Surge pricing and promotional bonuses may be offered at Chill Out Ride’s discretion.

5. DRIVER RESPONSIBILITIES

As a Chill Out Ride driver, you agree to:

  • Provide safe, courteous, and professional transportation services.
  • Follow all traffic laws and ride-hailing regulations in your operating area.
  • Keep your vehicle clean and presentable at all times.
  • Respect all passengers and not discriminate based on race, gender, religion, disability, or
    any other protected category.
  • Not use or be under the influence of drugs, alcohol, or illegal substances while operating
    your vehicle.
    • Not engage in any behavior that could be considered unsafe, unprofessional, or illegal.

6. TERMINATION & ACCOUNT SUSPENSION

Your access to the Chill Out Ride platform may be suspended or terminated if:

  • You violate any terms of this Agreement.
  • You engage in unsafe or unprofessional behavior while providing services.
  • Your insurance lapses or your vehicle no longer meets required standards.
  • You receive multiple customer complaints regarding safety or service quality.
  • You fail to comply with local transportation regulations.

7. INSURANCE & LIABILITY COVERAGE

  • As a driver, you are responsible for maintaining active insurance that meets the legal
    requirements in your area.
  •  Chill Out Ride provides limited liability coverage while a ride is in progress, but we do
    not cover personal vehicle damage or incidents outside of an active ride.
  • In the event of an accident, you must immediately notify both your insurance provider
    and Chill Out Ride.

8. DISPUTE RESOLUTION

  •  Any disputes arising from this Agreement will be resolved through binding arbitration,
    in accordance with state laws.
  • You agree to waive your right to file a lawsuit or participate in a class action claim
    against Chill Out Ride.

9. MODIFICATIONS TO THIS AGREEMENT

  • Chill Out Ride reserves the right to modify, update, or amend this Agreement at any
    time.
  • Any changes will be communicated via email or the driver portal, and continued use of
    the platform signifies acceptance of the updated terms.

10. ACKNOWLEDGMENT & ACCEPTANCE

Here’s the revised Section 10: Acknowledgment & Acceptance, reflecting that drivers accept
the terms by using the app:

By signing up for a Chill Out Ride Driver account and using the Chill Out Ride Driver app,
you acknowledge and agree to the following:
✔  You have read and understood this Agreement.
✔  You agree to comply with all terms and conditions outlined herein.
✔  You acknowledge that you are an independent contractor, not an employee of Chill Out

Ride:

✔  Your continued use of the Chill Out Ride Driver app constitutes your acceptance of this
       Agreement and any future updates.
      If you do not agree to these terms, you must discontinue using the Chill Out Ride Driver
        app and platform.
